1.PARTIES AND SUBJECT MATTER

1.1. By reading and accepting this agreement, every natural and legal person who accesses the website (referred to as "SAĞLAM" hereafter) broadcasting in the https://www.saglammetal.com domain name and sub-names as a user or visitor is expected to comply with the conditions written below. Therefore, please read the terms written below carefully. If you do not accept these conditions, please stop using "SAĞLAM".

1.2. "SAĞLAM" reserves the right to change the information, forms, content and terms of use at any time.

1.3. The owner of "SAĞLAM" is in Cumhuriyet mah.  İnönü Cad. No:42 Şekerpınarı-Çayırova/Kocaeli SAĞLAM METAL San. ve Tic.  Inc. (referred to as "SAĞLAM" hereafter). The services offered in “SAĞLAM” and specified in Article 3  of this contract are provided by SAĞLAM.

1.4. These "SAĞLAM Terms of Use" have been published on the website and have been made available and put into effect by every natural and legal person using "SAĞLAM". These "Terms of Use" are also an integral part of any "Membership Agreement" made or to be made with users who will benefit from "SAGLAM" services.

1.5. “SAĞLAM” can change the conditions specified in this contract at any time without giving any notice to the "USER". These changes will be published in “SAĞLAM” periodically and will be valid on the date of publication. Every natural and legal person who benefits from "SAĞLAM" services and accesses the "SAĞLAM" website is deemed to have accepted any amendments made by "SAĞLAM" to the provisions of this contract in advance. These "Terms of Use" cannot be changed by unilateral declarations of the user.

2.    DEFINITIONS

“SITE”: The website that can be accessed from the online environment, saglammetal.com main domain name and sub-domains connected to this domain, where various services and content are offered within the limits determined by “SAĞLAM”. USER : Any natural and legal person who accesses “SAĞLAM” and/or “SAĞLAM DATABASE” online.

“LINK”: A link that makes it possible to access “SAĞLAM” through “SAĞLAM” or to another website, files, content or from another website to “SAĞLAM”, files and content.

“CONTENT”: All kinds of information, texts, files, pictures, videos, numbers, etc. visual, literary and auditory images published or accessible from “SAĞLAM”.

"SAĞLAM INTERFACE": It is used by "USERS" in order to view the content created by "CONTENT PROVIDERS" by "USERS" and to query them from "SAĞLAM DATABASE"; Websites that give commands to the computer program to carry out all kinds of operations that can be done through "SAĞLAM" within the designs protected under the Code on Intellectual and Artistic Works No. 5846 and whose intellectual rights belong to "SAĞLAM".

“SAĞLAM DATABASE”: The database in which the contents accessed from “SAĞLAM” are stored, classified, queried and accessed and protected in accordance with the Code on Intellectual and Artistic Works No. 5846 belonging to “SAĞLAM”.

"MEMBER": One of the special services offered by "SAĞLAM", by completing the "MEMBERSHIP" process defined by "SAĞLAM" on the "SAĞLAM" website; Every real and/or legal person who benefits from the approval given by "SAĞLAM" in the electronic environment and accepts the contracts specially prepared for these services with the electronic approval given during the "MEMBERSHIP" registration process are the "USERS".

"MEMBERS AGREEMENT": Specifying the conditions for benefiting from the special services offered by "SAĞLAM" within the compass of "SAĞLAM"; The electronic contract, which is an inseparable part of the terms of use of this site, concluded electronically between “SAĞLAM” and “MEMBER” as a result of the electronic consent given by the “MEMBER” during the membership registration process. “SAĞLAM” may categorize the "MEMBERSHIP AGREEMENT" according to different membership or service groups and present it to the "MEMBER" for approval under different names. In this case, the person who will be a "MEMBER"; According to the services it wants to receive, it accepts the one related to the service it chooses from the contracts regulating those services.

"CONTENT PROVIDER": Institutions and organizations that supply all content offered by "SAĞLAM" within "SAĞLAM".

3.    SAĞLAM'S LIABILITIES

3.1. “SAĞLAM” ensures that the contents supplied by “CONTENT PROVIDERS” can be queried by “USERS” and “MEMBERS” via the “SAĞLAM DATABASE” using the interface on “SAĞLAM” and viewed by the interfaces belonging to “SAĞLAM” over “SAĞLAM”.

3.2. “SAĞLAM” ensures that the contents provided by “CONTENT PROVIDERS” can be queried over “SAĞLAM DATABASE” by using the interface on “SAĞLAM” by personalizing them according to the choices of “MEMBERS” and can be viewed by interfaces belonging to “SAĞLAM” over “SAĞLAM”.

3.3. “SAĞLAM” refers to its "MEMBERS" within the limits of the explanations specified in the "MEMBERSHIP AGREEMENT" and made in "SAĞLAM" regarding the relevant service; It provides an environment where they can perform operations such as creating a profile page, choosing an area of interest, collecting their likes, commenting on the content and interacting with other MEMBERS within the "SAĞLAM" manner.

3.4. The services provided by “SAĞLAM” are not limited to those stated in the above articles. The services listed above are the basic services offered by "SAĞLAM" and it is entirely within the authority of "SAĞLAM" to add new services to these services and to change the scope and launch conditions of the services mentioned above. “SAĞLAM” can use this authority unilaterally in any way it wishes without any notice.

4.    USER OBLIGATIONS

4.1. "USERS" can only act on "SAĞLAM" for legal purposes. The legal and criminal responsibility of "USERS" and "MEMBERS" in every transaction and action on "SAĞLAM" belongs to them personally and only.

4.2. "SAĞLAM" works on the basis that "CONTENT" uploaded to "SAĞLAM DATABASE" by "CONTENT PROVIDERS" is displayed by "USERS". "SAĞLAM" does not guarantee the accuracy, security and legality of the "CONTENT" displayed by the "USERS" under any circumstances and does not take any responsibility for these "CONTENT".

4.3. "USER" shall not reproduce, copy, distribute, process all kinds of pictures, texts, audio-visual images, video clips, files, databases, catalogs and lists contained within "SAGLAM", either by these actions or by other means, accepts and undertakes that it will not enter into competition directly and/or indirectly.

4.4. “SAĞLAM”, the institutions it cooperates with, “SAĞLAM” employees and managers are not responsible under any form or condition for the services provided by third parties within the compass of “SAĞLAM” and the “CONTENT” created by the “MEMBERS”.

4.5. "USERS" and "MEMBERS" accept and undertake that the information and content provided by "SAĞLAM" to "SAĞLAM" are correct and in compliance with the law. “SAĞLAM” is not obliged to investigate the accuracy of the information and content transmitted to “SAĞLAM” by “USERS” and “MEMBERS” or uploaded, changed and provided by “SAĞLAM” by themselves. “SAĞLAM” does not assume or guarantee that this information and content is safe, accurate and legal.

4.6. "USERS" and "MEMBERS" accept and committed that they will not engage in activities that will lead to unfair competition within the compass of "SAĞLAM" in accordance with the provisions of the Turkish Commercial Code, and that they will not carry out any actions that will undermine the personal and commercial reputation of "SAĞLAM" and third parties, or infringe or attack personal rights,.

4.7. “SAĞLAM” reserves the right to change the services offered within “SAĞLAM” and the “CONTENT” accessed within “SAĞLAM” at any time. “SAĞLAM” can use this right without any notice.

4.8. “SAĞLAM” is a "Hosting Provider" according to the Law number 5651 and has received a "Hosting Provider Activity Certificate" from the Telecommunication Authority Presidency Directorate in accordance with the relevant mandatory legislation. In order to discharge the obligations imposed on "Host Providers" in accordance with the Law No. 5651 and the relevant legislation, "SAĞLAM" records and stores the records of the nature specified in the relevant legislation regarding the operations performed by "USERS" on "SAĞLAM" within the legal period.

4.9. Since “SAĞLAM” is a "Hosting Provider" according to the Law No. 5651, it is obliged to fully and  completely comply with the obligations set forth in Article 5 of the relevant law.

4.10. “SAĞLAM” can use, disclose, process, share, classify and store information on a database in accordance with the provisions of “PRIVACY POLICY” and “MEMBERSHIP AGREEMENT”, the information conveyed to it by “USERS” or “MEMBERS” via “SAĞLAM”. “SAĞLAM” may also can store and use obtain information such as the identity, address, e-mail address, telephone, IP address of the user or visitor, which parts of “SAĞLAM” he has visited, browser type, transaction date, for statistical evaluation and providing personalized services.

4.11. It is forbidden to work toward information retrieval from the "SAĞLAM DATABASE" in order to obtain the content accessed and/or viewed through "SAĞLAM". SAĞLAM will file a criminal complaint against persons who, by failing to comply with this prohibition, work toward information retrieval "SAĞLAM DATABASE" , in order to be punished as required by this law, as they commit the act of "unauthorized access to the information system" specified in Article 243/1 of the Turkish Penal Code.

4.12. Access to the database where the content accessed or viewed through “SAĞLAM” is stored by third parties only for the purpose of displaying the relevant content or within the limits of written permission by “SAĞLAM” is considered to be legal. Accesses made other than this are against the law and "SAĞLAM"'s litigation and follow a proceeding rights are always reserved for such cases.

4.13. It is forbidden to copy, reproduce, transmit, process and display the advertisements published on “SAĞLAM” on other websites and channels without the written consent of “SAĞLAM INTERFACE” of “SAĞLAM INTERFACE”.

4.14. Any "CONTENT" accessed or viewed through "SAĞLAM" cannot be viewed by third parties in any medium, especially on the internet, outside the "SAĞLAM" site, without the written consent of "SAĞLAM", otherwise it constitutes illegal use.

4.15. Personal data on the profile pages accessed or viewed through ”SAĞLAM” cannot be used, processed, transmitted, displayed or disclosed by third parties under any circumstances and conditions without the written permission of the personal data owners and “SAĞLAM”. However, "SAĞLAM" may provide certain information about "USERS", "MEMBERS" and "VISITERS" to these authorities, provided that they remain within the scope of applicable laws in line with the decisions of the legal authorities, and within the limits of the relevant decision, if required by law.

4.16. "SAĞLAM DATABASE" and the information contained in this database cannot be partially or completely copied, transferred to other databases and made available to third parties for access and use without the written consent of "SAĞLAM".

5.       INTELLECTUAL PROPERTY RIGHTS

5.1. The information accessed within this "SAĞLAM" or provided by "CONTENT PROVIDERS" and all staff of this "SAĞLAM" belong to "SAĞLAM" or have been obtained by "SAĞLAM" from a third party under a legally valid license.

5.2. Content such as pictures, graphics, photographs used on the site belong to "SAĞLAM" or are used with the permission of their legal owners. The use of such content by the user or by third parties for other purposes is not permitted outside the limits stated on the site. Unauthorized use of such content; may result in copyright infringement, violation of trademark provisions or other applicable legislation.

5.3. SAĞLAM.com aims to respect the law, copyrights and personal rights.  For this reason, for the purpose of specifying the valid copyright holders: The source name and site address from which the content was obtained, and the appropriate explanation about the license under which the content was obtained, are included on the pages that are related to all kinds of content included in "SAGLAM". "USERS" don't have a right to resell, process, share, distribute, display "SAĞLAM" services, "SAĞLAM" information and copyrighted works of ""SAĞLAM" or to allow third parties to access or use the services of "SAĞLAM".

5.4. "USERS" cannot reproduce, process, distribute or create derivative works of "SAĞLAM" subject to copyright, except as expressly permitted by "SAĞLAM" within these "Terms of Use".

5.5. In cases where it is not expressly authorized by “SAĞLAM” within the compass of these “SAĞLAM Terms of Use”, “SAĞLAM”; "SAĞLAM" services, "SAĞLAM" information, "SAĞLAM" copyrighted works, "SAĞLAM" trademarks, "SAĞLAM" commercial appearance or other assets and information provided through this site reserves all rights.

6.       FORCE MAJEURE

6.1. “SAĞLAM” is not legally responsible for late performance and/or non-performance of any of its obligations arising from these "Terms of Use", Confidentiality Principles and "Membership Agreement" in all situations that are legally considered force majeure. These and similar situations will not be deemed as delay, non-performance or default in terms of "SAĞLAM" or any compensation obligation of "SAĞLAM" will arise for these situations.

6.2. The term "force majeure" shall be interpreted as events beyond the reasonable control of the related party and which "SAGLAM" could not prevent despite due diligence. In addition, but not limited to, natural disasters, riots, wars, strikes, communication problems, infrastructure and internet failures, power cuts and bad weather conditions are included in force majeure events.

7.       APPLICABLE LAW

If there is an element of foreignness in the implementation and interpretation of these "Terms of Use" and in the management of legal relations arising under these "Terms of Use", Turkish Law will be applied. Istanbul Central Courts and Enforcement Offices are authorized in the settlement of any disputes that arise or may arise due to this contract.

8.       VALIDITY

"SAĞLAM Terms of Use", which consists of 8 articles, becomes effective on the date it is announced by "SAĞLAM" in "SAĞLAM". "USERS" and "MEMBERS" accept the provisions of this contract by using "SAGLAM". “SAĞLAM” can change the provisions of this agreement at any time, and the changes take effect on the date they are published on “SAĞLAM” by specifying the version number and date of change.
